CLI Terms of Use

These terms govern how users install and use the Simetrik Command Line Interface (CLI). By activating CLI access and logging in for the first time, the user accepts these terms on their behalf and of their organization.

1. Scope

What these terms cover and how they relate to the customer organization’s existing contract with Simetrik.

These CLI Terms of Use (“CLI Terms”) govern the installation, configuration, and use of the Simetrik command line interface tool (“CLI”), including the companion AI configuration or integration file installed on the user’s device that enables the AI agent of the user’s choice to operate the CLI (“Simetrik Skill”). The CLI and the Simetrik Skill are an additional access channel to the Simetrik platform and do not constitute a separate product.

These CLI Terms supplement and are incorporated into the active master services agreement, software-as-a-service agreement, pilot agreement, or any other primary commercial contract governing use of the Simetrik platform (the “Principal Agreement”) executed between the customer organization and Simetrik. If these CLI Terms conflict with the Principal Agreement, the Principal Agreement prevails, unless these CLI Terms expressly state otherwise for a specific matter.

If no Principal Agreement is currently in force between the parties, these CLI Terms are governed by Simetrik’s Terms of Service available at simetrik.com/legal/master-services-agreements, which shall serve as the Principal Agreement for purposes of liability, data processing, and governing law.

2. Activation and User Acceptance

CLI access must be switched on by an account administrator. When the user completes the first login the user accepts these terms on their behalf and that of their organization.

CLI access must be enabled for a user role by an account administrator in the Simetrik platform before it can be used. By completing the CLI authentication flow, each individual user confirms that:

  • They have read and accept these CLI Terms individually and on behalf of the customer organization.
  • They are an authorized user of the customer organization’s Simetrik account.
  • They will ensure that their own use of the CLI complies with these CLI Terms and the Principal Agreement.

Acceptance is recorded in Simetrik’s platform logs.

3. What the CLI Is and How It Gets Installed

The CLI runs on the user’s device. The installer downloads and executes a script from cli.simetrik.com. Verify the URL before approving it.

The CLI is software that runs locally on the user’s device. Installation is performed by running a script downloaded from cli.simetrik.com. Before the script executes, the AI Agent will ask for the user’s approval (e.g. “Allow this command?”). Always verify that the command points to cli.simetrik.com before approving. Do not approve installation commands from any other URL.

The installer places two components on the device:

  • The CLI binary
  • The Simetrik Skill

The customer organization is responsible for any CLI installed from unofficial sources or modified after installation.

3.1 Authentication and Local Session

After installation, each user must authenticate once using simetrik login. Authentication opens a browser window where the user signs in with their Simetrik account or via SSO. The session is stored locally on the user’s device so subsequent CLI commands do not require re-authentication. Users must run simetrik logout when they no longer need an active session, and immediately if the device may have been compromised.

4. What Users Can Do With the CLI

Users may use the CLI to operate their own Simetrik workspace, by typing commands directly or by asking an AI Agent to act on their behalf.

The CLI may be used solely to access and operate the customer’s own Simetrik workspace, within the scope of the subscription license granted under the Principal Agreement.

Permitted use includes: uploading data, running reconciliations, scheduling tasks, configuring resources, querying results, and any other operation within the commands described in the official documentation.

The CLI may be operated directly from a terminal or through an AI Agent(such as Claude) acting on behalf of an authorized user. In both cases, the customer organization remains fully responsible for all actions executed under its credentials.

5. What Is Not Permitted

A short list of things users must not do. When in doubt, contact support@simetrik.com.

The following uses are strictly prohibited:

  • Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the CLI binary, the Simetrik Skill or Simetrik platform, except as expressly permitted under Section 6.3.
  • Redistributing, sublicensing, or transferring the CLI binary, the Simetrik Skill, or associated credentials to any third party not authorized under the Principal Agreement.
  • Using the CLI to access workspaces, data, or resources belonging to other customers or organizations.
  • Running automated or scripted operations that create excessive or disproportionate API request volume, intentionally circumvent rate limits, or exceed reasonable use thresholds.
  • Using the CLI to attempt unauthorized access to Simetrik’s infrastructure, APIs, or backend systems.
  • Sharing CLI credentials or authentication tokens with external systems, services, or AI models not under the customer’s direct control and governance.
6. Intellectual Property and License

The user’s use of the components made available for local use are subject to a limited license.

6.1 Ownership. 

The CLI, the Simetrik Skill, and all associated documentation, interfaces, updates, and improvements are and will remain the exclusive property of Simetrik. These CLI Terms do not transfer any ownership of or intellectual property rights in the Simetrik platform, the CLI or the Simetrik Skill to the customer organization or any user.

6.2 License grant. 

Subject to these CLI Terms and the Principal Agreement, Simetrik grants the customer organization a limited, non-exclusive, non-transferable, revocable license to install and use the CLI and the Simetrik Skill solely for the customer organization’s internal business operations during the term of the Principal Agreement. This license does not include the right to sublicense, resell, or make the CLI or Simetrik Skill available to any third party.

6.3 Source code and binary integrity. 

The CLI and the Simetrik Skill are provided in binary or compiled form. The customer organization and its users have no right to access, reproduce, or distribute the underlying source code. Users must not attempt to decompile, disassemble, reverse engineer, or otherwise derive the source code of the CLI or the Simetrik Skill, except to the extent that applicable law expressly permits such activity and it cannot be contractually excluded.

6.4 Third-party components. 

The CLI or the Simetrik Skill may incorporate third-party open-source components. Where required by the applicable open-source license, Simetrik will make the relevant attribution notices and license terms available in the official documentation or within the software itself. Nothing in these CLI Terms restricts rights that applicable open-source licenses expressly grant to users with respect to those specific components.

6.5 Feedback. 

If a user voluntarily provides Simetrik with suggestions, feedback, or ideas regarding the CLI or the Simetrik Skill, Simetrik may use that feedback freely and without restriction or compensation. 

7. Responsibility for Automated and AI-Assisted Operations

Whether a human or an AI model runs the CLI, the customer organization is responsible for what happens. This includes irreversible operations.

All actions executed through the CLI using valid customer credentials are the sole responsibility of the customer organization, regardless of whether those actions were initiated by a human user, an automated script, or an AI Agent.

The customer organization is responsible for ensuring that any AI system or automated workflow granted access to CLI credentials operates within the scope of these CLI Terms and the Principal Agreement, and complies with the customer’s own internal security and governance policies.

Simetrik is not liable for data loss, modification, or deletion resulting from automated or AI-assisted CLI operations executed with valid credentials, including irreversible operations, regardless of whether such operations were preceded by intermediate confirmation steps.

8. Protecting Credentials and Local Data

CLI credentials are personal and non-transferable. Users are also responsible for any data extracted and saved locally.

8.1 Credential Security

CLI credentials and authentication sessions are personal and non-transferable. Each user must authenticate independently.

The customer organization is responsible for:

  • Protecting CLI credentials from unauthorized access.
  • Promptly revoking access for users who no longer require it.
  • Reporting to Simetrik any suspected unauthorized use of credentials.
  • Ensuring that credentials and authentication tokens are not stored in insecure locations.
8.2 Locally Extracted Data

The CLI allows users to query and extract workspace data directly into their local terminal window or device. The customer organization is responsible for ensuring that any data queried, extracted, or saved locally via the CLI, including via command outputs, terminal logs, or exported files, is managed in accordance with the customer’s own data retention, confidentiality, and security obligations.

9. Audit and Logging

Every CLI action is logged the same way as actions performed in the web interface.

All CLI operations are logged by Simetrik with the same audit trail as operations performed through the web interface. Logs include the executing user, timestamp, action performed, and result.

These logs may be used by Simetrik to investigate suspected misuse, respond to security incidents, or fulfil applicable legal or regulatory obligations.

10. Updates

Keep the CLI up to date. Updates to the CLI may also include updates to the Simetrik Skill, which may change what the AI Agent can do on the user’s behalf.

Simetrik may release new versions of the CLI and the Simetrik Skill that include functional improvements, bug fixes, or changes required to maintain compatibility with the platform. Customers are encouraged to keep both up to date using the simetrik update command.

Updates to the Simetrik Skill may modify the scope or behavior of AI-assisted operations available to the customer. Simetrik will document material changes to Skill capabilities in official release notes.

Simetrik reserves the right to deprecate CLI versions that are no longer supported, with reasonable advance notice provided through official documentation channels.

10.1 Updates to These Terms

Simetrik may update these CLI Terms from time to time. Updated terms will be presented to the user upon the next CLI authentication following publication. Continued use of the CLI after that point constitutes acceptance of the updated terms.

11. Limitation of Liability

The liability limits in the Principal Agreement apply here too. Simetrik is not liable for indirect damages or data loss from automated CLI operations.

The CLI and the Simetrik Skill are provided as part of the Simetrik platform subscription. Simetrik’s aggregate liability for any claim arising from CLI use is subject to the same limitations set forth in the Principal Agreement.

In no event shall Simetrik be liable for indirect, incidental, special, consequential, or punitive damages arising from CLI use, including data loss resulting from automated or AI-assisted operations.

12. Governing Law

These CLI Terms are governed by the same governing law and dispute resolution provisions specified in the Principal Agreement between the customer organization and Simetrik.
